Dana B. Mehlman is Counsel in the Chicago office of Vedder Price and a member of the firm’s Finance & Transactions group and the Environmental group.

Ms. Mehlman has over twenty years of experience in the environmental, health and safety and sustainability fields, spending the first third of her career practicing as an environmental engineer.

Ms. Mehlman focuses her legal practice on a diverse range of environmental matters, including due diligence compliance, policy, operations, permitting and enforcement actions in both transactional and litigation actions. She has represented dozens of clients in various phases of CERCLA action and remediation activities, from the initial receipt of notice to post-remedial action long-term stewardship and each milestone between.

Ms. Mehlman serves as the primary environmental subject matter attorney for  Vedder Price’s corporate finance and transactions teams. She has performed due diligence through the review of environmental site assessments, permits, and enforcement documentation and she regularly identifys environmental risks and drafts appropriate representations and warranties, indemnities, insurance contract provisions, and disclosures to facilitate mergers and acquisitions of companies with assets including contaminated and potentially contaminated properties.

Ms. Mehlman also has experience in advising clients in regards to implementation of wind energy conversion systems, siting of solid waste facilities including landfills, transfer stations and compost facilities, and with the technical and legal ramifications of subsurface soil and groundwater contamination.

Since 2021, Ms. Mehlman has been recognized by Best Lawyers: Ones to Watch in America in the field of Environmental Law. She was also named to the National Law Journal’s inaugural list of Energy & Environmental Trailblazers.

Prior to joining Vedder Price, Ms. Mehlman worked as an Environmental Manager for the world’s largest fertilizer company, and previously served as a Geotechnical Engineer before attending law school at the University of Florida, where she received an Environmental and Land Use Law Certificate in addition to her JD.  She received both her B.S. and M.S. in Civil and Environmental Engineering from the University of Illinois and she is a licensed Professional Engineer in both Illinois and Georgia.

Servied as the purchase side environmental subject matter attorney for Wynnchurch Capital, L.P. in its acquisition of Industrial Service Solutions (ISS), a leading industrial maintenance, repair and operations platform for rotating and process equipment based in Houston, Texas, from The Edgewater Funds and JZ Capital Partners.

Served as the purchase side environmental subject matter attorney for Excel Scientific LLC, a portfolio company of Vance Street Capital LLC, in its acquisition of Innovize, LLC, a Minnesota-based, advanced medical contract manufacturer primarily focused on complex materials conversion for critical components of diagnostics, wearables and electronics-focused devices.

Led the sell side environmental diligence for Resco Products, Inc. ("Resco"), a portfolio company of Balmoral Funds LLC, in its definitive agreement to be acquired by RHI Magnesita for an enterprise value of up to $430 million. Resco operates seven plants and two raw material sites in the U.S. and two plants in the U.K. and Canada.

Led the sell side environmental diligence for the Krause Group in the sale of Kum & Go, a family owned convenience store chain with over 400 locations across 13 states, and Solar Transport, a leading tank truck carrier and logistics provider, to Maverik, a Salt Lake City-based independent fuel marketer in the Intermountain West.

Negotiated Consent Agreement and Final Order with USEPA Region 5 leading to a reduction in RCRA penalty proposed to client of $460,875 to only $20,000 plus completion of an innovative Supplemental Environmental Project.

Evaluated commercial and manufacturing clients' product lines for California's Proposition 65 applicability and compliance. Defended clients against allegations of non-compliance with Proposition 65.
